Terms of Service

TeacherAssist.ai (“the Service”) is operated by LTC Inc., an Illinois S Corporation. References to “we,” “us,” or “our” mean LTC Inc. The Service provides AI tools that help educators grade student work, review grading insights, and plan instruction.

By creating an account or using the Service, you agree to these Terms of Service and to our Platform Policy Statement, which explains how we handle your data and your students' data. If you do not agree, do not use the Service.

• The Service is intended for educators, schools, and districts. It is not intended for direct use by students.
• You must create an account and keep an active subscription, trial, or school or district license to use the platform.
• You are responsible for keeping your login secure and for activity under your account. Do not share your account with others.
• If you use the Service on behalf of a school or district, you confirm that you are authorized to do so.

Use the Service only for lawful educational purposes.

• Reverse engineering, copying, or reselling the platform or its underlying technology
• Attempting to bypass subscription limits, security controls, or another user's access
• Uploading content you are not authorized to share, or more student information than grading requires
• Using the Service in a way that violates your school's policies or applicable law

Our Platform Policy Statement includes more detail on permitted and prohibited use.

When a school or district authorizes the Service, we act as a “school official” with a legitimate educational interest under FERPA (34 CFR § 99.31(a)(1)). We handle student information only to provide the grading features you request:

• Uploaded and submitted student files are deleted from our servers when grading is complete
• Student names are stored only when you import a class roster from Google Classroom or your learning management system, so grades are matched to the right students
• Class rosters and grading results are deleted automatically after a period of inactivity set by your school or district (180 days by default, with an email to the teacher 14 days before), or sooner on your or your school's request
• We do not sell, rent, or trade student data, use it for advertising, or use it to train AI models

You are responsible for making sure your use of the Service complies with your school's policies and with applicable law, including FERPA, COPPA, and state student privacy laws such as Illinois SOPPA. If your district requires a signed DPA, please obtain it before uploading student work. Full details are in Section 3 of our Platform Policy Statement.

You may choose to connect the Service to Google Classroom or to your school's learning management system, such as Blackboard Learn. When you do:

• You authorize us to access only the classes, rosters, assignments, and submitted files needed to grade the work you choose, and to send grades back to that system
• Grades the Service returns are recorded in that system; you remain responsible for reviewing them
• Your use of Google Classroom, Blackboard, or any other connected platform is also governed by that provider's own terms
• You can disconnect Google Classroom at any time from the Classes page, which revokes our access

• Access requires an active subscription unless you are in an approved trial, pilot, or school or district license
• Payments are processed by Stripe. By subscribing, you authorize recurring charges until you cancel
• If you do not cancel before your free trial ends, you will be charged for the next billing cycle
• You can cancel at any time from your Settings page or the Stripe customer portal; cancellation takes effect at the end of the current billing period
• We do not refund partial billing periods, except where required by law or described in our Platform Policy Statement
• We will give at least 30 days' notice before changing the price of an active subscription
• Trials and early adopter pricing may be changed or ended at any time; early adopter pricing stays in effect for as long as that subscription remains active

The Service uses artificial intelligence to suggest grades, feedback, analytics, and instructional materials. AI output can contain errors. You acknowledge that:

• All grading and instructional decisions remain your responsibility
• You should review AI output before relying on it or sharing it with students
• The Service supports, and does not replace, your professional judgment

You keep ownership of the assignments, answer keys, rubrics, and materials you create or upload. You grant us a limited license to store and process that content only to provide the Service to you. We do not claim ownership of your content and do not use it to train AI models.

The Service may be interrupted for maintenance, updates, or reasons outside our control, including outages at our cloud and AI providers or at connected platforms. We work to keep the Service reliable but do not guarantee uninterrupted or error free operation.

To the fullest extent permitted by law, LTC Inc. is not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, instructional outcomes, or academic impact, arising from your use of the Service. The Service is provided “as is” and “as available.”

We may suspend or terminate access for violations of these Terms or misuse of the platform, and will give notice first except in cases of severe or repeated violations. You may stop using the Service and cancel your subscription at any time. When your account is closed, we delete your data as described in our Platform Policy Statement, and we return or destroy student data at the end of a school or district relationship on request.

We may update these Terms as the Service evolves. For significant changes, we will notify you by email and in the platform at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms. The current version is always available at teacherassist.ai/terms.html.
